1. Acceptance and Eligibility

1.1 Legal Capacity

By using MrBiz, you represent and warrant that you are at least 18 years of age or possess the legal capacity to enter into a binding agreement under the laws of Sri Lanka.

1.2 Business Representation

If you are using the Service on behalf of a company, partnership, or sole proprietorship, you represent that you have full authority to bind that entity to these Terms.

2. Account Registration and Security

2.1 Account Creation

To access the Service, you must create an account providing accurate, complete, and current information.

2.2 Authentication & Security

Authentication may be handled via Firebase Authentication or other specified login protocols. You are solely responsible for safeguarding your login credentials (username, password, OTPs).

2.3 Account Activity

You accept full responsibility for all transactions, data entries, and activities conducted under your account. Orexsy shall not be liable for any unauthorized access resulting from your failure to keep your credentials confidential.

3. Subscriptions, Payments, and Free Tier

3.1 Free Tier & Free Trial

• Upon initial registration, Users receive full access to all App features for the first month ("Free Month").
• Following the expiration of the Free Month, the account automatically transitions to a limited Free Tier where restriction caps apply to product creation, transaction logging, and other core functions.
• Orexsy reserves the right to modify, reduce, or alter Free Tier limits, functionality, or trial durations at any time with or without prior notice.

3.2 Paid Subscriptions & Pricing

• Access to unlimited features requires a paid subscription plan.
• Orexsy reserves the right to revise subscription fees, tiers, and limits at its sole discretion. Any price changes will be communicated in advance via the App or registered contact channels.

3.3 Payment Methods

• Online Payments: Online card payments are processed securely via third-party payment gateways (e.g., PayHere).
• Manual Bank Transfer / QR: Users may execute bank transfers or scan provided QR codes. Users must manually submit/upload the payment slip/receipt to our official WhatsApp channel or designated App upload tool. Account activation for manual transfers is subject to manual verification and approval by Orexsy.

3.4 Strict No-Refund Policy

• All payments, subscription fees, and charges paid to Orexsy are strictly non-refundable.
• Partial usage, accidental purchases, unused subscription time, or account cancellations prior to the billing cycle end will not qualify for refunds, credits, or pro-rated adjustments under any circumstances.

4. Referral Program and Commission Withdrawals

4.1 Earning Logic & Eligibility

• Simply inviting or referring a new user does not generate commission.
• Commissions are credited to the referrer's in-app wallet only when a referred user completes a valid, paid subscription purchase.
• The standard baseline commission is 10% of the purchased subscription package price.
• Orexsy may offer tiered commission levels (e.g., increasing up to 15% upon reaching milestones such as 250 active, paying referred customers). Orexsy reserves the sole right to define, adjust, or revoke referral tier thresholds at any time.

4.2 Withdrawal Rules & Processing

• Minimum Limit: Users may request a withdrawal once their withdrawable referral wallet balance reaches a minimum of LKR 1,000.00.
• Processing Time: Validated withdrawal requests will be processed within two (2) business days from the time of request.
• Payout Method: Funds will be transferred solely to the bank account details provided by the User within the App.
• User Liability for Bank Details: The User bears 100% sole responsibility for ensuring that all submitted banking details (Account Name, Account Number, Bank Name, and Branch) are accurate and active. Orexsy records all payout transactions for verification. Orexsy shall bear zero liability or obligation for lost, misdirected, or failed transfers resulting from inaccurate bank details submitted by the User.
• Deductions: Orexsy transfers the full approved request amount without deducting extra platform service fees, subject to standard bank clearance mechanisms.

4.3 Fraud, Abuse, and Cancellation

• Orexsy maintains a strict zero-tolerance policy against referral fraud, self-referrals, automated account creation, fake payment submissions, or system abuse.
• Orexsy reserves the right to audit any referral transaction. If fraudulent or suspicious activity is detected, Orexsy may immediately cancel all accrued commissions, forfeit wallet balances, and permanently suspend or terminate the offending account without liability or prior notice.

5. User Data Ownership, Responsibility, and Retention

5.1 Data Ownership

All data, inventory records, sales entries, customer/supplier information, transaction histories, and financial figures entered into the App ("User Data") remain the intellectual property of the User.

5.2 User Responsibility

You are 100% solely responsible for the accuracy, legality, completeness, quality, and integrity of all User Data entered into MrBiz.

5.3 Data Storage & Hosting

User Data is stored and processed on third-party cloud infrastructure (primarily Google Firebase). Orexsy acts solely as a technical facilitator providing software access to your stored data.

5.4 Data Retention & Inactive Accounts Policy

• If a User account becomes inactive, remains on an unpaid tier, or has its subscription expired for a continuous period of six (6) consecutive months, Orexsy reserves the right to mark the account as abandoned.
• Upon reaching the six-month inactivity threshold, Orexsy reserves the right to permanently purge, wipe, and delete all associated User Data, records, and uploaded assets from its databases and servers without prior notice.
• Orexsy shall bear zero liability for any data loss resulting from the permanent deletion of inactive or terminated accounts.

6. Service Uptime, Maintenance, and SLA Disclaimer

6.1 No Uptime Guarantee (No SLA)

Orexsy does not guarantee uninterrupted, 100% continuous 24/7 availability or error-free operation of the MrBiz App.

6.2 Scheduled & Unscheduled Maintenance

The Service may be temporarily unavailable due to scheduled maintenance, software updates, emergency patches, or third-party service outages (including Google Firebase cloud infrastructure, local ISP connectivity issues, or hosting outages).

6.3 No Business Loss Liability

Orexsy shall not be held liable for any direct, indirect, incidental, or consequential damages, business interruptions, lost revenues, lost sales, or operational downtime incurred by the User during any App service disruption or outage.

7. App Updates and Modification of Features

7.1 Continuous Improvements

Orexsy frequently updates, improves, modifies, or alters the features, workflows, and tools within the MrBiz App.

7.2 Feature Discontinuation or Alteration

Orexsy reserves the right to introduce new functionality, modify existing tools, or discontinue specific features at its sole discretion.

7.3 Terms Evolution

These Terms automatically extend to cover any new features, integrations, or tools introduced in future software updates. Your continued use of the App following any update constitutes your binding acceptance of the updated features and applicable terms.

8. Disclaimer of Warranties and Limitation of Liability

8.1 "As-Is" and "As-Available" Provision

MrBiz is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express, implied, statutory, or otherwise.

8.2 Data Loss & Backup Disclaimer

• While Orexsy utilizes reliable cloud storage solutions (Google Firebase), Orexsy explicitly disclaims any liability for data loss, data corruption, database downtime, server failures, network outages, or hardware malfunctions.
• Users are strongly encouraged to maintain independent manual backups or records of their critical business financial operations.

8.3 Financial, Tax, and Analytics Accuracy

• Analytical tools, reports, calculation outputs, waybills, and financial summaries provided by MrBiz are generated purely based on the raw data input by the User.
• MrBiz is an operational tool, not a certified accounting, legal, or tax advisor.
• Orexsy explicitly disclaims any responsibility or liability for business decisions, profit/loss miscalculations, tax penalties, inventory discrepancies, or operational errors resulting from the use of App reports.

8.4 Maximum Liability Cap

To the maximum extent permitted by Sri Lankan law, Orexsy's total aggregate liability for any claims arising out of or relating to these Terms or the App shall not exceed the total amount paid by you to Orexsy in the one (1) month preceding the event giving rise to the liability.

9. Third-Party Integrations and Services

9.1 Courier Services & APIs

• MrBiz may integrate with third-party courier services (e.g., Domex, Prompt, Koombiyo, etc.) via APIs for waybill generation, tracking, or fee calculations.
• Orexsy does not own, control, or guarantee the operation of these courier services.
• Orexsy shall bear zero liability for courier API downtime, invalid tracking generation, lost/damaged packages, incorrect delivery fee calculations, delayed dispatches, or disputes between the User and courier agencies.

9.2 WhatsApp Messaging & Third-Party APIs

• Features enabling messaging, reminders, or receipt sharing via WhatsApp rely on WhatsApp/Meta platform APIs and client-side protocols.
• Orexsy is not responsible for blocked accounts, message delivery failures, platform policy shifts, or API suspensions enforced by WhatsApp/Meta or telecom service providers.

10. Intellectual Property and Customization Responsibility

10.1 Company IP

The MrBiz App, including its software code, UI/UX design, branding, logos, graphics, database architectures, and algorithms, is the exclusive intellectual property of Orexsy and is protected by the Intellectual Property Act No. 36 of 2003 of Sri Lanka and international IP treaties.

10.2 User Uploaded Media & Custom Layouts

• Users may have options to customize receipt templates, waybills, invoices, or upload custom logos and trade media.
• You represent and warrant that you own or possess all necessary rights, licenses, and permissions to upload any logos, brand names, or graphics into the App.
• Orexsy explicitly disclaims any liability for copyright, trademark, or intellectual property infringements committed by the User. You agree to hold Orexsy harmless against any legal actions or damages arising from unauthorized media or trademark usage within your receipts or documents.

10.3 Prohibited Actions

You agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
• Modify, adapt, translate, copy, or create derivative works based on MrBiz.
• Use the App to conduct illegal sales, fraudulent activities, money laundering, or illegal trade under Sri Lankan law.
• Introduce malware, viruses, or harmful code designed to disrupt App infrastructure.

11. Account Termination and Suspension

11.1 Termination by Orexsy

Orexsy reserves the right, at its sole discretion, to suspend, disable, or permanently terminate your account without prior notice or refund if:

• You breach any provision of these Terms.
• You engage in fraudulent, illegal, or abusive conduct (including referral fraud).
• Non-payment or payment failure occurs past the due billing period.
• Required by Sri Lankan law enforcement or judicial order.

11.2 Termination by User

You may discontinue using the App and terminate your subscription at any time.

12. Indemnification

You agree to defend, indemnify, and hold harmless Orexsy, its founders, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, or legal expenses (including legal fees) arising out of or in connection with:

• Your access to or use of the App;
• Your User Data, referral activities, or business transactions;
• Your violation of these Terms; or
• Your violation of any third-party rights, including trademark owners, courier services, payment gateways, or end-customers.

13. Governing Law and Jurisdiction

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this agreement shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in Sri Lanka.

14. Amendments to Terms

Orexsy reserves the right to modify these Terms at any time. Updated versions will be posted within the App or communicated via official update channels. Continued use of the App following the posting of updated Terms constitutes your binding acceptance of the changes.
